Subscription, Billing, Cancellation and Refund Policy
This Policy governs the commercial administration of ZoikoTime subscriptions, billing, renewals, cancellations, refunds, credits, and payment administration.
Where a signed written agreement or Order Form expressly conflicts with this Policy, the signed agreement or Order Form controls solely for the conflicting subject matter. Nothing in this Policy is intended to exclude or modify any non-waivable statutory right under applicable law.
1. Purpose and Scope
This Subscription, Billing, Cancellation, and Refund Policy ("Policy") establishes clear, consistent, and commercially defensible rules for subscription purchasing, billing, renewals, cancellation, refunds, credits, and payment administration for ZoikoTime paid services.
This Policy applies to all ZoikoTime subscriptions and paid services purchased directly from Zoiko Tech Inc., through an authorized ZoikoTime sales representative, through an online checkout, through a marketplace, or through a reseller arrangement. Free trials, sandbox environments, and evaluation access are governed by applicable trial terms and the Terms of Service.
3. Definitions
Account Owner: The individual or legal entity that controls the ZoikoTime workspace, subscription, billing profile, and administrative rights.
Billing Cycle: The monthly, annual, multi-year, or other subscription period stated in the applicable checkout flow, Order Form, invoice, or written agreement.
Order Form: A written, electronic, or digitally accepted document that identifies the Customer, subscription plan, number of seats, billing term, commercial terms, support package, add-ons, start date, and other commercial parameters.
Subscription Term: The period during which Customer is authorized to access the Paid Services, subject to payment and compliance with applicable terms.
User Seat:A named or authorized user allocation that permits an individual to access ZoikoTime under the applicable plan.
4. Subscription Plans and Commercial Structure
ZoikoTime offers multiple subscription plans including Verified, Governed, Sovereign, and Enterprise. Plan names, features, pricing, availability, and commercial terms are as described on the ZoikoTime website, the applicable checkout flow, or the Order Form at the time of purchase.
Customers may purchase add-ons, premium modules, usage-based capabilities, compliance packs, integrations, implementation services, enhanced support, or additional storage. Add-ons are billed separately and do not automatically terminate with the base subscription unless stated otherwise.
ZoikoTime may improve, modify, replace, or discontinue features in accordance with the Terms of Service, provided that ZoikoTime will not materially reduce core paid functionality during a committed Subscription Term without Customer consent or equivalent substitute functionality.
7. Billing Cycles, Invoicing, and Payment Timing
ZoikoTime may bill monthly, annually, multi-year, in advance, in arrears, upon usage, upon milestone, or according to the billing frequency specified in the applicable Order Form. Unless otherwise stated, subscription fees are billed in advance.
Unless an Order Form or invoice states a different due date, invoices are due upon receipt. Enterprise invoices may specify net payment terms. ZoikoTime will issue invoices electronically to the Account Owner or Authorized Billing Contact.
Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, and may trigger suspension procedures under Section 15.
12. Renewals and Price Changes
Unless either party provides written notice of non-renewal before the end of the then-current Subscription Term, subscriptions automatically renew for successive periods equal to the expiring term. The renewal notice period for monthly subscriptions is 7 days; for annual subscriptions, 30 days; for multi-year subscriptions, 60 days.
ZoikoTime will provide commercially reasonable advance notice of renewal price changes. Customers who do not wish to renew at the new price may cancel before renewal using the process in Section 13.
Unless otherwise stated in the Order Form, renewal pricing may be adjusted to reflect plan changes, increased seat counts, expanded functionality, taxes, third-party costs, inflationary changes, or updated market pricing.
13. Cancellation by Customer
Customers may cancel their ZoikoTime subscription at any time. Cancellation takes effect at the end of the then-current Subscription Term unless an Order Form expressly permits mid-term cancellation.
To cancel, Customer must submit written notice through the account administration portal, by email to the ZoikoTime billing team, or as otherwise specified in the applicable Order Form. ZoikoTime will confirm receipt of a valid cancellation notice within 3 business days.
Where cancellation is processed, Customer retains access to the Services until the end of the paid Subscription Term. Fees already paid for the current term are not refundable unless a specific exception applies under Section 14.
14. Refund Policy
ZoikoTime's general refund policy for subscription fees is as follows:
- Annual subscriptions: Refundable within 14 days of initial purchase or renewal if the platform is materially non-functional and ZoikoTime is unable to remediate within 5 business days
- Monthly subscriptions: Generally non-refundable for the current billing cycle after use has commenced
- Unused term on cancellation: Generally non-refundable unless an Order Form expressly provides otherwise or termination occurs for cause under the Terms of Service
- Service Credits: Credited against future invoices as described in the Service Level Agreement
- Consumer rights: Where applicable consumer protection law provides stronger refund rights, those rights are preserved
Refund requests must be submitted in writing within 30 days of the billing event. ZoikoTime will review refund requests in good faith and provide a decision within 10 business days.
15. Non-Payment, Failed Payments, Suspension, and Reactivation
If payment is not received within 10 days of the invoice due date, ZoikoTime may send a payment reminder and may restrict access to administrative functions, exports, or new users. If payment remains outstanding 20 days after the due date, ZoikoTime may suspend access to the Services.
If payment remains outstanding 45 days after the due date, ZoikoTime may terminate the subscription and initiate data deletion in accordance with the Data Retention, Deletion and Legal Hold Policy, subject to Customer's data export rights.
Reactivation following suspension may require payment of all outstanding amounts, applicable late fees, a reactivation fee, and updated payment details.
17. Data Access, Export, Retention, and Deletion After Cancellation
Upon cancellation or termination, Customer should export all required data before the end of the Subscription Term. ZoikoTime will provide a post-termination data access period as described in the Data Retention, Deletion and Legal Hold Policy (generally 30 days for production-accessible data, unless an Order Form states otherwise).
After the post-termination retrieval period, Customer Data will be queued for deletion, archived if legally required, or retained under applicable legal hold. ZoikoTime is not liable for data loss after the termination retrieval period expires.
